Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Cloudesy website at www.cloudeesy.com and the Cloudesy AI voice platform (collectively, the "Service"), provided by Cloudesy ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Service. By using the Service on behalf of a company or organisation, you represent that you are authorised to bind that entity to these Terms.
2. Accounts and Access
Certain features of the Service require a registered account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised access at contact@cloudeesy.com.
3. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation.
- Transmit any content that is unlawful, fraudulent, harassing, or harmful.
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
- Attempt to gain unauthorised access to any part of the Service or related systems.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Resell or sublicense the Service without our prior written consent.
4. Intellectual Property
All content, software, and technology comprising the Service — including the Cloudesy name, logo, and platform — is owned by or licensed to Cloudesy and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for its intended purpose. No rights are transferred to you beyond what is explicitly stated herein.
5. Your Content
You retain ownership of any data or content you submit through the Service ("Your Content"). By submitting Your Content, you grant us a limited licence to process and use it solely to provide the Service. You represent that you have all necessary rights to submit Your Content and that it does not infringe any third-party rights.
6. Platform Service Terms
Customers using the Cloudesy AI voice platform are subject to a separate Service Agreement which governs uptime commitments, data retention, call volume limits, support levels, and billing. In the event of a conflict between these Terms and the Service Agreement, the Service Agreement shall prevail.
7. Payment and Billing
Fees for the platform are set out in your Service Agreement or the applicable pricing plan. All fees are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes, including Canadian federal and provincial taxes (GST/HST). Subscription fees are non-refundable except where required by law. We reserve the right to suspend access for non-payment after reasonable notice.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
9. Limitation of Liability
To the maximum extent permitted by law, Cloudesy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total aggregate liability to you for any claim arising under these Terms shall not exceed the fees paid by you in the three months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Cloudesy and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.
11. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms. You may terminate your account at any time by contacting us. Sections 4, 8, 9, and 10 survive termination.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting a notice on our website or by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
